These Terms of Use govern your access to and use of the SAIGE Africa website at saigeafrica.org, operated by SAIGE Africa Advisory and Research Center LBG. Please read them carefully before using this website.

1. Acceptance of These Terms

By accessing or using saigeafrica.org (the "Website"), you confirm that you have read, understood and agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not use the Website.

These Terms apply to all visitors, readers and any other persons who access or use the Website, regardless of how or from where they access it. Your continued use of the Website following any update to these Terms constitutes acceptance of the revised Terms.

2. About SAIGE Africa and This Website

SAIGE Africa Advisory and Research Center LBG ("SAIGE", "we", "us", "our") is a company limited by guarantee incorporated in Ghana. Operating under the brand name SAIGE Africa, we are a pan-African agribusiness intelligence and advisory think tank. Our activities include producing and publishing research, reports and insights on agribusiness, agricultural markets and related topics, as well as providing advisory services to clients across Africa.

The Website is our primary public-facing platform. Through it, we share information about our work, publish selected research outputs, and make it possible for interested parties to contact us. The Website is maintained for general information purposes.

3. Not Professional Advice — Important Notice

NOTHING ON THIS WEBSITE CONSTITUTES PROFESSIONAL, LEGAL, FINANCIAL, INVESTMENT, TAX, AGRONOMIC OR ANY OTHER FORM OF REGULATED ADVICE. All content — including research papers, reports, data, commentary, analysis, articles, insights, and any other material published on or accessible through the Website — is provided for general information and educational purposes only.

You must not rely on any content on this Website as the basis for making, or refraining from making, any business, investment, financial, legal, tax, agronomic or other decision. Before taking any such action, you should obtain appropriate independent professional advice tailored to your specific circumstances from a suitably qualified adviser.

SAIGE is not a licensed financial adviser, investment adviser or legal practitioner. Accessing or using the Website does not create any advisory, consultancy, fiduciary, client or professional relationship between you and SAIGE of any kind. No such relationship arises from any email, form submission, newsletter subscription, social-media interaction or any other communication you may have with us through or in connection with the Website.

4. Advisory Services Governed Separately

Where SAIGE provides advisory, research or consultancy services to clients, those engagements are governed exclusively by separate written agreements negotiated and executed between SAIGE and the relevant client. Nothing on this Website constitutes an offer to provide such services, and no binding contract for advisory or consultancy services arises from your use of the Website or any communication made through it.

5. Intellectual Property and Permitted Use

The Website and all of its content — including but not limited to research papers, reports, insights, data, text, graphics, charts, logos, trade marks, trade names, design elements and the overall look and feel of the Website — are owned by or lawfully licensed to SAIGE Africa Advisory and Research Center LBG. All rights not expressly granted in these Terms are reserved.

Subject to the restrictions below, you are permitted to:

  • Access and view Website content for your own personal, non-commercial information purposes.
  • Share links to pages on the Website through social media, email or similar channels.
  • Quote or cite limited excerpts from SAIGE research, reports or insights for non-commercial information, commentary, academic or journalistic purposes, provided that (a) the excerpt is not reproduced in a form that could substitute for the original, (b) SAIGE Africa is clearly and prominently attributed as the source, and (c) a hyperlink to the original source page on saigeafrica.org is included.

You may NOT, without SAIGE's prior written permission:

  • Reproduce, copy, redistribute, publish, broadcast, transmit or otherwise make available any substantial portion of the Website's content, whether in print, digital or any other form.
  • Systematically extract, scrape, crawl, spider or otherwise collect content from the Website by automated or manual means in bulk.
  • Use any content from the Website for commercial purposes, including incorporating it into products, services, databases, training datasets or commercial publications.
  • Remove, alter or obscure any copyright, trade mark or other proprietary notice appearing on or in the Website.
  • Reproduce SAIGE's logos, trade marks or branding in any manner likely to cause confusion or imply an association or endorsement by SAIGE.

Where specific materials are released under an open licence or a Creative Commons licence, the terms of that licence govern your use of those materials and, to the extent of any conflict with these Terms, the specific licence prevails. Any applicable open licence will be clearly identified alongside the relevant material.

6. Acceptable Use

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. In particular, you must not:

  • Use the Website in any way that violates applicable local, national or international law or regulation.
  • Attempt to gain unauthorised access to any part of the Website, its servers, systems, databases or any third-party system connected to it.
  • Introduce or attempt to introduce any virus, malware, trojan, worm, logic bomb, denial-of-service attack or other harmful material or code.
  • Scrape or harvest the Website's content at scale, whether by automated bots, scripts, web crawlers or otherwise, without our prior written consent.

We reserve the right to restrict, suspend or terminate your access to the Website at any time and without notice if we reasonably believe you have breached these Terms or are acting in a manner harmful to SAIGE or other users.

7. Your Submissions — Forms and Newsletter

The Website may offer contact forms, newsletter subscription forms, research-request forms or similar input facilities (collectively, "Forms"). Where you submit information through any Form, you represent and warrant that:

  • All information you provide is accurate, truthful and not misleading.
  • You have the right and authority to submit the information.
  • Your submission does not violate any applicable law or regulation, infringe any third-party rights, or contain any material that is unlawful, fraudulent, abusive, threatening, defamatory, obscene or otherwise objectionable.
  • You are not submitting unsolicited bulk communications, spam or any automated submission.

By subscribing to our newsletter or mailing list, you consent to receiving communications from SAIGE about our research, publications, events and services. You may withdraw your consent and unsubscribe at any time by following the unsubscribe link included in each communication or by contacting us at hello@saigeafrica.org.

The collection, use and storage of any personal information you provide through Forms is governed by our Privacy Policy.

8. Third-Party Links and Content

The Website may contain hyperlinks to websites, reports, publications or other content produced or maintained by third parties. Such links are provided solely for your convenience and do not constitute an endorsement, approval or recommendation by SAIGE of those third-party websites, organisations or their content.

SAIGE has no control over and accepts no responsibility for the content, accuracy, legality, privacy practices or availability of any third-party website or resource linked to from this Website. While SAIGE endeavours to ensure that the information published on the Website is accurate and up to date, we make no representation, warranty or guarantee — express or implied — that:

  • The Website will be available without interruption, or that it is free from viruses or other harmful components.
  • Any research, data, analysis or insight published on the Website reflects the current state of affairs in any market, sector or jurisdiction.
  • The Website is free from technical errors, defects or inaccuracies.

To the fullest extent permitted by Ghanaian law and any other applicable law, SAIGE expressly excludes all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or equity.

Any reliance you place on the information or materials on the Website is entirely at your own risk.

10. Limitation of Liability

To the fullest extent permitted by the laws of Ghana and any other applicable jurisdiction, SAIGE Africa Advisory and Research Center LBG, its directors, officers, employees, agents, affiliates and licensors shall not be liable to you or to any third party for:

  • Any loss of profits, revenue, business, data, goodwill or anticipated savings.
  • Any indirect, incidental, consequential, special or punitive loss or damage.
  • Any loss or damage arising from your reliance on any content, information, research or other material on the Website.
  • Any loss or damage arising from your inability to access or use the Website or any part of it.
  • Any loss or damage caused by any virus, malware or other technologically harmful material that may infect your computer equipment, programs, data or other proprietary material as a result of your use of the Website or your downloading of any content from it.
  • Any loss or damage arising from your use of or reliance on any third-party website linked to from the Website.

Nothing in these Terms excludes or limits SAIGE's liability to the extent that such exclusion or limitation is not permitted under Ghanaian law or any other mandatory applicable law, including any liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Where Ghanaian law does not permit the complete exclusion of a type of liability but does permit limitation, SAIGE's liability to you for that type of loss or damage is limited to such amount as the courts of Ghana consider just and equitable in the circumstances.

11. Indemnity

You agree to indemnify, defend and hold harmless SAIGE Africa Advisory and Research Center LBG, its directors, officers, employees, agents and licensors from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms or any applicable law or regulation.
  • Your misuse of the Website or any content on it.
  • Any content or information you submit through the Website that proves to be inaccurate, misleading, unlawful or in breach of any third-party right.
  • Any claim brought by a third party arising from your use of the Website in violation of these Terms.

SAIGE reserves the right, at its own expense, to assume exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with SAIGE in asserting any available defences.

SAIGE is committed to protecting your personal data and handling it responsibly. Any personal information collected through the Website — including through contact forms, newsletter subscriptions or other communications — is processed in accordance with our Privacy Policy, which is available on the Website.

By using the Website or submitting any personal information to us, you acknowledge that you have read and understood our Privacy Policy. The Privacy Policy is incorporated into and forms part of these Terms by reference.

13. Governing Law and Jurisdiction

These Terms, their subject matter and their formation (and any non-contractual disputes or claims arising out of or in connection with them) are governed by and construed in accordance with the laws of the Republic of Ghana.

You irrevocably submit to the exclusive jurisdiction of the courts of Ghana to settle any dispute or claim arising out of or in connection with these Terms or your use of the Website. If you are a consumer located in a jurisdiction that grants you mandatory local consumer protection rights, nothing in this clause affects those rights.

14. Changes to These Terms

SAIGE reserves the right to amend, update or replace these Terms at any time, at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. We may also, where we consider the changes to be material, notify you by posting a prominent notice on the Website or by sending an email to subscribers.

Your continued use of the Website after any revised Terms have been posted constitutes your acceptance of the changes. We therefore encourage you to review these Terms periodically. If you do not agree to any revised Terms, you should stop using the Website.
